Welcome to LocalSoc.com. LocalSoc.com, operated by KLOUDWIN SOLUTIONS PRIVATE LIMITED (“Company,” “we,” “us,” or “our”), provides a platform and related products and services for managing and enhancing your online business presence.

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and KLOUDWIN SOLUTIONS PRIVATE LIMITED governing your access to and use of LocalSoc.com, its website, platform, applications, products, and related services (collectively, the “Service”).

By creating an account by providing your Full Name and Mobile Number and selecting “I accept the Terms & Conditions,” or by otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other applicable policies or guidelines referenced herein.

If you do not agree to these Terms, you must not create an account or access or use the Service.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you access or use the Service on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

LocalSoc provides tools and services designed to help businesses manage and improve their online presence. Depending on the features made available to you, the Service may include functionality such as:

• Business Profile management;
• Business Profile information management;
• Review monitoring and management;
• Review response assistance;
• Business Profile posts and content management;
• Business performance and analytics;
• Local search and visibility insights;
• AI-assisted content generation and recommendations;
• Social media content creation and publishing;
• Integration with third-party platforms;
• Location and multi-location management;
• Lead and customer engagement features; and
• Other features and services introduced by LocalSoc from time to time.

The features available to you may vary based on your account, connected third-party services, location, platform availability, and other factors.

LocalSoc may add, modify, suspend, or discontinue features or functionality of the Service from time to time.

To use certain features of the Service, you may be required to create an account by providing information such as your Full Name and Mobile Number and completing the applicable registration process.

You agree to:

• provide accurate and current information;
• keep your account information updated;
• maintain the confidentiality of your account credentials and access information;
• use your account only for lawful purposes;
• promptly notify us if you believe that your account has been accessed or used without authorization; and
• be responsible for activities conducted through your account.

You must not create an account using false, misleading, or impersonated information or create an account on behalf of another person or organization without appropriate authorization.

We reserve the right to restrict, suspend, or terminate accounts that violate these Terms or applicable law.

LocalSoc may integrate with, use, or provide access to third-party software, platforms, APIs, services, applications, and technologies (“Third-Party Services”) to provide, support, or enhance certain features and functionality of the Service.

These Third-Party Services may include, but are not limited to, services provided by Google, Meta (including Facebook and Instagram), LinkedIn, and other third-party providers that may be integrated into the Service from time to time.

Your use of any Third-Party Services may be subject to the applicable terms of service, privacy policies, licensing terms, and other policies of the respective third-party provider. You acknowledge that LocalSoc does not control and is not responsible for the availability, functionality, policies, security, or practices of Third-Party Services.

Where you connect your LocalSoc account to a Third-Party Service, you authorize LocalSoc to access and use the information, data, and permissions necessary to provide the requested functionality, subject to the permissions granted by you, the applicable third-party policies, and our Privacy Policy. You are responsible for ensuring that you have the necessary rights and authorization to connect and use any third-party account or Business Profile through LocalSoc.

Third-Party Services may impose limitations, requirements, or restrictions on how their APIs, data, content, and features may be accessed, stored, displayed, modified, or used. LocalSoc's functionality may therefore be subject to such limitations and requirements.

LocalSoc does not guarantee the accuracy, completeness, availability, or continued accessibility of information or data obtained from Third-Party Services. Any actions performed through a Third-Party Service, including publishing, updating, responding, or modifying information, may be subject to the availability and functionality of that third-party platform.

Your use of LocalSoc does not grant you any ownership rights in any Third-Party Service, software, content, trademarks, or intellectual property belonging to a third party. Nothing in these Terms is intended to modify, override, or grant rights beyond those provided under the applicable terms and policies of the relevant Third-Party Service.

Third-Party Services may change, suspend, restrict, or discontinue their APIs, features, permissions, or availability at any time. Such changes may affect the availability or functionality of corresponding LocalSoc features, and LocalSoc does not guarantee the continued availability of any particular Third-Party Service or integration.

Certain LocalSoc features require you to connect or authorize access to a Business Profile or other third-party business account.

By connecting a Business Profile to LocalSoc, you confirm that:

• you own, manage, or are otherwise authorized to manage the Business Profile;
• you have the necessary authority to grant LocalSoc the requested access and permissions;
• the information and instructions you provide to LocalSoc are accurate;
• your use of the Service complies with the applicable policies and terms of the relevant third-party platform; and
• you will not use LocalSoc to obtain unauthorized access to another person's or organization's Business Profile.

LocalSoc acts only on the permissions and access granted by you or the relevant third-party platform. LocalSoc does not claim ownership of your Business Profile.

You remain responsible for the accuracy of your Business Profile information and for ensuring that your use of any third-party platform complies with its applicable policies.

You may provide, upload, submit, create, or authorize LocalSoc to access information, text, images, logos, reviews, business information, documents, media, and other content (“User Content”).

You retain ownership of User Content that you own or are legally entitled to provide.

By providing User Content to LocalSoc, you grant us the limited rights necessary to host, process, analyze, display, modify, transmit, and use such content solely to provide, operate, maintain, improve, and secure the Service and to perform actions requested by you.

You represent and warrant that:

• you have the necessary rights, permissions, and authority to provide the User Content;
• the User Content does not infringe or violate the rights of any third party;
• the User Content does not violate applicable laws or regulations; and
• your use of the User Content through LocalSoc does not violate the terms or policies of any connected third-party service.

LocalSoc may remove or restrict User Content where reasonably necessary to comply with applicable law, third-party requirements, security requirements, or these Terms.

LocalSoc may provide features that use artificial intelligence or machine learning technologies to assist with content creation, review responses, analysis, recommendations, summaries, insights, or other functionality.

AI-generated or AI-assisted output may not always be accurate, complete, current, or suitable for your particular business.

You are responsible for reviewing AI-generated content before publishing, submitting, or otherwise using it.

LocalSoc does not guarantee that AI-generated content will be error-free, unique, appropriate for every situation, or compliant with the policies of third-party platforms.

You remain responsible for any content you choose to publish or use through the Service.

You agree to use LocalSoc only for lawful purposes and in accordance with these Terms.

You must not:

• use the Service for any unlawful, fraudulent, deceptive, or unauthorized purpose;
• impersonate another person or organization;
• attempt to gain unauthorized access to any account, system, API, or network;
• interfere with or disrupt the operation or security of the Service;
• upload or transmit malicious software, viruses, or harmful code;
• use automated means to access or scrape the Service except where expressly permitted;
• use the Service to infringe intellectual property, privacy, publicity, or other rights of another person;
• submit false, misleading, fraudulent, or deceptive business information;
• use the Service to publish unlawful, defamatory, abusive, threatening, obscene, or otherwise prohibited content;
• use LocalSoc to manage a Business Profile or third-party account without appropriate authorization;
• attempt to bypass security, access controls, API limitations, or usage restrictions;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service except to the extent permitted by applicable law; or
• use the Service in a manner that violates the terms or policies of any connected Third-Party Service.

The Service, including its software, interface, design, branding, logos, graphics, documentation, features, functionality, and other materials provided by LocalSoc, is owned by or licensed to KLOUDWIN SOLUTIONS PRIVATE LIMITED and is protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, you may not:

• copy, reproduce, modify, distribute, sell, lease, license, or commercially exploit the Service;
• create derivative works based on the Service;
• remove or alter proprietary notices;
• use LocalSoc trademarks or branding without written permission; or
• access or use the Service for the purpose of developing a competing product or service.

These Terms do not transfer ownership of the Service or any LocalSoc intellectual property to you.

If you provide suggestions, ideas, recommendations, or other feedback regarding LocalSoc (“Feedback”), you grant LocalSoc the right to use, reproduce, modify, and incorporate such Feedback into its products and services without restriction or obligation to compensate you.

You agree that providing Feedback does not transfer ownership of your other intellectual property to LocalSoc.

We strive to keep LocalSoc available and operational, but we do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

The Service may occasionally be unavailable due to:

• scheduled maintenance;
• upgrades or technical changes;
• infrastructure or hosting issues;
• network failures;
• security incidents;
• third-party service interruptions;
• API changes or restrictions;
• circumstances beyond our reasonable control; or
• other technical or operational reasons.

LocalSoc may modify, update, suspend, or discontinue any part of the Service at any time.

The Service may display, process, or provide access to information obtained from third-party platforms, including business information, reviews, photographs, posts, analytics, and other data.

LocalSoc does not independently guarantee the accuracy, completeness, reliability, or current status of such information.

Information obtained through a third-party platform may change without notice and may be subject to the policies, limitations, and availability of that platform.

You acknowledge that LocalSoc is not responsible for changes made directly by third-party platforms or by other users or administrators with access to your connected business accounts.

Your use of LocalSoc is also subject to our Privacy Policy, which explains how we collect, use, process, store, disclose, and protect information.

By using the Service, you acknowledge that you have reviewed our Privacy Policy.

Where LocalSoc processes personal information on your behalf or in connection with your use of the Service, such processing will be handled in accordance with applicable law and our Privacy Policy.

You may stop using LocalSoc and delete your account at any time by selecting the “Delete Account” option available within the Service.

When you delete your account, your LocalSoc account and the Business Profile-related data associated with your account will be deleted. Any Business Profile management access or permissions granted to LocalSoc will also be removed as part of the account deletion process.

Once the account deletion process is completed, you will no longer be able to access your LocalSoc account or use the associated services.

The deletion of your account and associated data is subject to our Privacy Policy and any applicable legal or regulatory requirements that may require certain information to be retained.

We may suspend or terminate your access to the Service if you materially violate these Terms, applicable law, or the policies of a relevant Third-Party Service, or where necessary to protect the security and integrity of the Service.

Termination or deletion of an account does not affect provisions of these Terms that by their nature should continue to apply.

To the maximum extent permitted by applicable law, LocalSoc provides the Service on an “as is” and “as available” basis.

LocalSoc does not warrant or guarantee that:

• the Service will always be available or uninterrupted;
• the Service will be free from errors or defects;
• information obtained from third-party platforms will always be accurate or complete;
• AI-generated content or recommendations will always be accurate or appropriate;
• a Business Profile will achieve any particular ranking, visibility, traffic, engagement, reviews, leads, or business results;
• content published through LocalSoc will remain available on a third-party platform;
• third-party APIs or integrations will remain available; or
• the Service will meet every particular business requirement.

LocalSoc does not guarantee any particular result from the use of its services.

To the maximum extent permitted by applicable law, KLOUDWIN SOLUTIONS PRIVATE LIMITED and its directors, officers, employees, affiliates, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, data, or business interruption arising out of or relating to your use of or inability to use the Service.

LocalSoc will not be responsible for losses arising from:

• actions or decisions taken by you based on information provided through the Service;
• changes or actions taken by Google, Meta, LinkedIn, or other Third-Party Services;
• suspension, restriction, termination, or modification of a third-party account or Business Profile;
• inaccurate or incomplete information obtained from third-party platforms;
• unauthorized access resulting from your failure to protect your account credentials;
• internet, telecommunications, hosting, infrastructure, or network failures; or
• events outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless KLOUDWIN SOLUTIONS PRIVATE LIMITED, its directors, officers, employees, affiliates, contractors, and service providers from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable legal expenses, arising out of or relating to:

• your violation of these Terms;
• your misuse of the Service;
• your violation of applicable law;
• your User Content;
• your infringement or violation of another person's intellectual property, privacy, or other rights;
• your unauthorized access to or use of a Business Profile or Third-Party Service; or
• your breach of any applicable third-party terms or policies.

LocalSoc may introduce new features, modify existing features, or discontinue features as the Service evolves.

We may also update these Terms from time to time to reflect changes to the Service, applicable laws, third-party requirements, or our business practices.

When we make material changes, we may provide notice through the Service, website, email, or other reasonable means.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to applicable law, the courts having jurisdiction over the location of the Company's registered office shall have jurisdiction over disputes arising out of or relating to these Terms or the Service.

Nothing in this section prevents either party from seeking urgent or interim relief from a court of competent jurisdiction where legally permitted.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, or other corporate transaction, subject to applicable law.

Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, or franchise relationship between you and KLOUDWIN SOLUTIONS PRIVATE LIMITED.

Your use of LocalSoc does not authorize you to represent that you are an employee, agent, partner, or representative of LocalSoc unless expressly authorized in writing.

By creating an account or using the Service, you agree that LocalSoc may communicate with you regarding your account, the Service, security matters, important updates, and other service-related matters through the contact information associated with your account or through notifications within the Service.
